NinjaBot Terms of Service
NinjaBot provides free Discord support, moderation, and community automation primarily for VDO.Ninja and Social Stream Ninja. By interacting with NinjaBot, you agree to these terms and the NinjaBot Privacy Policy.
1. Operator and protected parties
NinjaBot is operated by Skindeep.AI Inc., a Canadian corporation registered in Ontario and doing business under the registered business name Ninjafy Inc. Steve Seguin is the service and privacy contact. VDO.Ninja, Social Stream Ninja, NinjaBot, and SteveSeguin-branded projects are project names or brands and are not promises of a separate legal entity, partnership, joint venture, fiduciary relationship, employment relationship, or agency relationship.
In these Terms, Operator means Skindeep.AI Inc., doing business as Ninjafy Inc. Protected Parties means the Operator, Skindeep.AI Inc., Ninjafy Inc., Steve Seguin personally, VDO.Ninja, Social Stream Ninja, NinjaBot, SteveSeguin-branded projects, and their respective current and former directors, officers, employees, contractors, contributors, moderators, volunteers, agents, service providers, licensors, successors, and assigns.
2. Acceptance and eligibility
By using commands, buttons, support threads, submissions, or other NinjaBot features, you agree to these Terms. If you do not agree, do not interact with the bot. You must be permitted to use Discord and any related project service. VDO.Ninja is intended for users aged 16 or older.
3. What NinjaBot provides
NinjaBot may organize support threads, run informational and administrative commands, moderate spam or unsafe content, publish authorized updates, announce configured project content, and manage community service listings. NinjaBot does not provide emergency service, professional advice, guaranteed support, or guaranteed response times.
4. Community rules and prohibited conduct
You must follow Discord's terms and community rules established by server administrators. You may not use NinjaBot or the related community to:
- Spam, distribute malware, phish, evade moderation, or interfere with the bot or community.
- Harass, threaten, dox, impersonate, exploit, or unlawfully target another person.
- Post illegal content or content that infringes intellectual-property, privacy, publicity, or other rights.
- Expose credentials, streaming keys, access tokens, private invite links, or other secrets.
- Scrape, overload, reverse-engineer, or misuse the service in a way that harms users, infrastructure, or third-party platforms.
5. Moderation
NinjaBot and server administrators may, in their sole reasonable discretion and without prior notice, warn users, delete messages, archive or rename threads, preserve moderation reports, reject submissions, restrict features, suspend access, or remove users when considered appropriate to enforce community rules, protect users or the Protected Parties, comply with law, or operate the service. Automated detection and human moderation can make mistakes. Moderation decisions do not create a duty to monitor, investigate, intervene, preserve evidence, or take any particular action. Contact an administrator if you believe an action was incorrect.
6. Your content and responsibility
You retain responsibility for content you submit and represent that you have all rights, permissions, and lawful authority needed to share and process it. You grant the Operator and relevant service providers a worldwide, non-exclusive, royalty-free licence to host, copy, process, format, transmit, moderate, display, and store that content only as reasonably needed to operate, secure, improve, or provide the feature you selected. Content submitted through designated project-update or approved-service workflows may be republished publicly.
You are solely responsible for your content, interactions, decisions, backups, credentials, compliance with law, and compliance with third-party terms. The Protected Parties do not endorse or assume responsibility for user content merely because NinjaBot processes, displays, fails to remove, or republishes it through an authorized workflow.
7. Ask the Bot
The Ask the Bot button invokes NinjaClawd, a different Discord application also operated by Skindeep.AI Inc. under the Ninjafy Inc. business name. Using that button is optional and may cause the support thread to be processed by NinjaClawd under its own bot configuration and applicable disclosures. NinjaBot does not guarantee the accuracy, completeness, or suitability of responses produced by NinjaClawd or any other automated service.
8. Third-party services
NinjaBot depends on or may integrate with third-party platforms including Discord, GitHub, Reddit, YouTube/Google services, and hosting providers. Their terms, availability, moderation, and privacy practices apply separately. NinjaClawd is a separate related application operated by the Operator, not a third-party platform. The Protected Parties are not responsible for third-party services or content.
9. Community service listings and no agency
Freelancer or community service listings are user-submitted and community-provided. No listed provider, community member, moderator, volunteer, or contributor is an employee, partner, fiduciary, representative, or agent of any Protected Party merely because they participate in the community or appear in a listing. The Protected Parties do not validate, endorse, employ, insure, supervise, or guarantee listed providers. Users are solely responsible for evaluating providers, agreements, payments, taxes, licensing, insurance, safety, quality, and legal compliance.
10. Availability, changes, and termination
The bot is provided free of charge and may be changed, interrupted, rate-limited, or discontinued at any time. Features and these Terms may change. Continued use after an updated effective date constitutes acceptance of the revised Terms.
The Operator may suspend or terminate access to NinjaBot or any feature at any time, with or without notice, and without liability to the extent permitted by law. You may stop using NinjaBot at any time. Provisions that by their nature should survive termination, including ownership, licences already granted for published content, disclaimers, liability limits, indemnity, and dispute provisions, will survive.
11. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, NINJABOT AND ALL RELATED CONTENT, LISTINGS, AUTOMATION, MODERATION, SUPPORT, AND INTEGRATIONS ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." THE PROTECTED PARTIES DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND COLLATERAL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR YOUR NEEDS.
Information supplied through NinjaBot or the community is general information only. It is not legal, financial, medical, cybersecurity, business, or other professional advice, and you must independently verify it before relying on it.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES WILL NOT BE LIABLE UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, EQUITY, OR ANY OTHER THEORY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, AGGRAVATED, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, CONTENT, REVENUE, PROFITS, GOODWILL, OPPORTUNITY, OR BUSINESS; SERVICE INTERRUPTION; SECURITY INCIDENTS; THIRD-PARTY CONDUCT; MODERATION ACTIONS; OR RELIANCE ON BOT, COMMUNITY, LISTING, OR AUTOMATED OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO NINJABOT, THESE TERMS, OR THE RELATED COMMUNITY WILL NOT EXCEED THE GREATER OF (A) CAD $100 AND (B) THE AMOUNT YOU PAID DIRECTLY TO THE OPERATOR SPECIFICALLY FOR NINJABOT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These exclusions and limits are fundamental allocations of risk and apply collectively, not separately to each Protected Party. Nothing excludes liability or mandatory rights that cannot lawfully be excluded or limited.
13. Indemnity
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Protected Parties from claims, demands, proceedings, liabilities, damages, judgments, settlements, penalties, losses, and reasonable legal fees arising out of or relating to your content, conduct, misuse of NinjaBot, dealings with another user or listed provider, breach of these Terms, violation of law, or infringement of another person's rights. The Operator may control the defence and settlement of a covered claim, and you agree to provide reasonable cooperation. You may not settle a claim in a way that admits fault by or imposes obligations on a Protected Party without that party's written consent.
14. Governing law and venue
These Terms and any dispute arising from NinjaBot are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to mandatory law, the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada. Mandatory consumer rights and jurisdictional protections that cannot lawfully be waived remain unaffected.
15. Ownership
NinjaBot software, project names, trademarks, documentation, and site content are owned by their respective owners and may include open-source components governed by their licences. These Terms do not transfer ownership or grant permission to use the names, logos, branding, or trademarks of Skindeep.AI Inc., Ninjafy Inc., Steve Seguin, VDO.Ninja, Social Stream Ninja, NinjaBot, or any third party except as expressly permitted in writing or by applicable open-source licences.
16. General terms
These Terms and policies incorporated by reference form the entire agreement concerning NinjaBot and supersede prior discussions on that subject. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. Failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without the Operator's written consent; the Operator may assign these Terms in connection with a reorganization, financing, asset transfer, merger, or similar transaction.
